End User License Agreement
Version 1.1.0 — Effective October 16, 2026
This End User License Agreement ("Agreement") is between you and AUXJACK LLC, a California limited liability company ("AUXJACK", "we", "us"). It covers every AUXJACK software product that references it, including applications, audio plugins, their updates, manuals, included content and bundled third-party components (each, a "Product").
1. SCOPE AND PRODUCT SCHEDULES
1.1 Each Product has a Product Schedule ("Schedule") that sets out product-specific details, such as the number of activations, trial length, bundled third-party components, and which Modules in Sections 11–14 apply.
1.2 This Agreement and the applicable Schedule together form your agreement for that Product. If a Schedule conflicts with this Agreement, the Schedule controls for that Product only.
1.3 In this Agreement, "the Software" means the Product you have licensed or are trialing, including its updates, manuals, included content and bundled components. A license to one Product does not grant rights to any other Product.
2. ACCEPTANCE
2.1 You accept this Agreement by clicking "I Agree" (or a similar button) during purchase, installation or first launch, or by installing or using the Software. If you do not agree, do not install or use the Software.
2.2 If you are accepting on behalf of a company or other organization, you confirm that you have authority to bind it, and "you" refers to that organization.
2.3 If you are under 18, a parent or legal guardian must accept this Agreement on your behalf.
3. LICENSE GRANT
3.1 Grant. Subject to this Agreement and payment of any applicable fee, AUXJACK grants you a non-exclusive, non-transferable (except under Section 7), worldwide license to install and use each Product for which you have obtained a valid license or trial, on the number of computers stated in that Product's Schedule.
3.2 Commercial use. You may use the Software for personal or commercial purposes, including work you perform for clients.
3.3 Who is licensed. Each license is for one individual. If an organization purchases a license, it covers one named user. An organization needs one license for each person who uses the Software. A computer shared by multiple users requires a license for each person who uses the Product on it, unless AUXJACK offers a site or room license for that Product.
3.4 Activations. You may deactivate a computer and activate another at any time, up to the number allowed in the Schedule.
4. TRIALS AND BETA VERSIONS
4.1 Trials. AUXJACK may offer a free trial for the period stated in the Schedule. When the trial ends, some or all functionality stops until you activate a purchased license. You may not reset, extend or circumvent a trial period. Trials are provided "as is" under this Agreement.
4.2 Beta versions. Beta, pre-release or test versions are provided for evaluation, may contain errors, may stop working at any time and are not covered by Section 6. AUXJACK has no obligation to release a final version.
5. ACTIVATION AND LICENSE VALIDATION
5.1 Activation. The Software requires activation. Online activation contacts AUXJACK's licensing provider, Moonbase, and the Software revalidates your license from time to time. Offline activation, where offered, uses a device file that you upload through your Store account and a license file that you download from it; an offline-activated license is not revalidated online.
5.2 Device identification. Activation identifies your computer by a device identifier based on its hardware identifier, together with its device name. Depending on the Product, the device identifier is either the hardware identifier itself or a one-way hash of it, as described in our Privacy Policy.
5.3 Offline use. If the Software cannot reach the licensing provider, a validly activated license that has not been revoked continues to work for up to 7 days after its last successful check. After that, the Software stops working until it reconnects and revalidates.
5.4 Continuity. If AUXJACK permanently stops operating its licensing service or its store, we will make reasonable efforts to provide a way for existing license holders to keep using the version they licensed on the computers they have activated, without online validation.
5.5 No tampering. You must not bypass, disable or tamper with activation, licensing or trial mechanisms.
6. UPDATES AND UPGRADES
6.1 Your license includes any updates AUXJACK releases within the same major version of the Product (for example, all 1.x releases).
6.2 New major versions (for example, 2.0) may be offered as a paid upgrade, a discounted upgrade or a free upgrade, at AUXJACK's discretion.
6.3 AUXJACK is not obligated to provide updates, support or compatibility with future operating systems or host software.
6.4 If you obtain an upgrade or crossgrade at a discount based on an earlier license, the new license replaces the earlier one, which you may not use or transfer separately.
7. LICENSE TRANSFERS
7.1 You may transfer a license to another person once, with AUXJACK's prior approval, by contacting support. After a transfer, you must deactivate and delete all copies of the Software, and the new owner is bound by this Agreement.
7.2 Licenses obtained at educational, not-for-resale, bundle or promotional pricing are non-transferable where the terms of that offer say so.
8. RESTRICTIONS
You may not:
(a) sell, rent, lease, lend, sublicense or otherwise transfer the Software or your license, except as Section 7 allows;
(b) share license keys, license files or activations with anyone else;
(c) modify, adapt, translate or create derivative works of the Software, or reverse engineer, decompile or disassemble it, except (i) where applicable law expressly permits it despite this restriction, or (ii) as permitted by the license of a third-party component under Section 9;
(d) remove or alter any copyright, trademark or proprietary notices;
(e) copy the Software's code, design or user interface to build a competing product, or share, sell or distribute a machine-learning model trained to replicate the Software's functionality;
(f) share, sell or distribute any product, model, profile or capture (in software, hardware, a machine-learning model or any other form) that was made by analyzing, measuring or capturing the Software's output or behavior in order to replicate or clone its algorithms, processing, sound or functionality. Listening to, measuring, testing, reviewing and comparing the Software, and private captures under Section 11.3(d), are not restricted; or
(g) use the Software in violation of any law.
9. THIRD-PARTY COMPONENTS
9.1 The Software may include third-party components, which are listed in the Schedule and in AUXJACK's Third-Party Notices, included with each Product and available at https://www.auxjackaudio.com/third-party-notices. Those components are licensed to you under their own licenses, including open-source licenses such as the GNU LGPL and GPL. The Third-Party Notices are provided for information and do not form part of this Agreement.
9.2 Nothing in this Agreement limits your rights under those licenses. Where a component's license grants rights that this Agreement would otherwise restrict (including rights to modify, relink, replace or reverse engineer that component), that license controls for that component.
9.3 Source code for open-source components is available where their licenses require it, as described in the Third-Party Notices.
9.4 Some audio, video and file formats may be covered by third-party patents. Open-source licenses do not grant patent rights except where they say so. You are responsible for obtaining any patent licenses your use requires.
10. OWNERSHIP, OUTPUT, FEEDBACK AND TRADEMARKS
10.1 Ownership. The Software is licensed, not sold. AUXJACK and its licensors keep all rights, title and interest in the Software, including all copies.
10.2 Your Output. Audio, files and other material you create with the Software ("Output") belong to you, subject to the rights of anyone else in your source material, to Section 8(f), and to Section 11 for Included Content.
10.3 Feedback. If you send AUXJACK feedback, ideas or suggestions, we may use them for any purpose without obligation to you.
10.4 Trademarks. This Agreement grants no rights to AUXJACK's names, logos or product names.
PRODUCT MODULES
Sections 11–14 apply only to Products whose Schedule lists that Module.
11. MODULE A: INCLUDED CONTENT
11.1 "Included Content" means presets, samples, multisamples, loops, one-shots, wavetables, impulse responses, MIDI files, patterns, sequences and similar material supplied with the Software, whether built in, installed with it, or provided separately as a download, expansion or content pack for it.
11.2 You may use Included Content royalty-free as part of your own music, sound design, audio-visual and other creative works, including commercial releases, sync, broadcast and client work. No credit or additional payment is required.
11.3 You may not:
(a) distribute, sell or share Included Content in isolated or substantially unaltered form;
(b) include it in any sample library, preset bank, sound pack, virtual instrument or other product that competes with or substitutes for the Included Content, whether free or paid;
(c) use Included Content, in whole or in part, to train, fine-tune or develop any artificial intelligence or machine-learning model, or include it in any dataset, unless AUXJACK agrees in writing;
(d) extract Included Content from the Software's files, or share, sell or distribute any recording, resampling, capture or conversion of the Software's output (for example, multisampled notes or impulse responses) that recreates Included Content or the Software's sounds or spaces, whether as or in a product, instrument, library, preset or impulse-response collection, free or paid. You may make such captures for your own private use while your license is valid, but not to give anyone else use of the Software's sounds without their own license. Delete them if your license ends. This applies only to the Software and its Included Content. It does not restrict you from sampling or capturing impulse responses from other software, hardware or acoustic spaces, which is governed by their own terms and applicable law; or
(e) register Included Content, or a work that consists mainly of unaltered Included Content, with a content-identification or rights-management system (such as YouTube Content ID), or otherwise claim ownership of Included Content itself.
11.4 Your license to Included Content as incorporated into works you created while your license was valid is perpetual and survives termination of this Agreement, except where your license is revoked for fraud, chargeback or unauthorized acquisition.
11.5 Your presets. Presets you create are your Output and you may share them, but a preset may contain only settings: it may not contain Included Content (such as samples, wavetables or impulse responses), and anyone using it needs their own license to the Product.
11.6 Third-party content. Some Included Content may be created by, or licensed to AUXJACK from, third parties. Where that content has additional or different terms, they are stated in the Product's Schedule and control for that content.
12. MODULE B: FILE PROCESSING
12.1 The Product processes files you choose. You are solely responsible for the files you process and for how you use the results.
12.2 By using the Product, you confirm that you own, or have permission to process, every file you use with it.
12.3 The Product is not designed to remove, bypass or circumvent copy protection (DRM). You must not use it to do so, to infringe copyright or to violate any law.
12.4 AUXJACK is not responsible for your files, their contents or any use you make of them. Conversions and processing may not be lossless, and the Product may rename or move files when you ask it to. Keep copies of your original files.
13. MODULE C: SYSTEM PERMISSIONS AND AUTOMATION
13.1 The Product may communicate with other applications, including your DAW, through their developer interfaces (such as Avid's Pro Tools Scripting interface) or operating-system permissions, and may change settings, tracks and sessions in those applications, and cause them to create or overwrite files, on your behalf.
13.2 You control which permissions you grant and which actions the Product performs. You are responsible for reviewing the Product's results. AUXJACK is not responsible for changes made in other applications through actions you initiate, including overwritten, misnamed or missing files or sessions, or settings left changed if a job is interrupted.
13.3 Third-party software updates may change or break automation behavior without notice.
13.4 Where the Product relies on a third party's developer interface (such as Avid's Pro Tools Scripting interface), that third party may change, limit or withdraw it at any time. If that happens, some or all of the Product's functionality may stop working. AUXJACK will make reasonable efforts to restore functionality but is not responsible for third-party decisions.
14. MODULE D: AUDIO PLUGINS AND HOST COMPATIBILITY
14.1 Plugin formats (such as AAX, AU and VST® 3) depend on third-party host software and on format owners, including Avid, Apple and Steinberg.
14.2 AUXJACK does not guarantee compatibility with every host, operating system or hardware configuration, or continued compatibility after third-party updates. Supported systems are listed on the Product page.
14.3 VST is a registered trademark of Steinberg Media Technologies GmbH. Avid and Pro Tools are trademarks or registered trademarks of Avid Technology, Inc. or its subsidiaries in the United States and/or other countries. Mac and macOS are trademarks of Apple Inc., registered in the U.S. and other countries and regions. AUXJACK products are not made, sponsored or endorsed by these companies.
15. PURCHASES AND REFUNDS
15.1 Purchases are made through AUXJACK's online store, which is run by Moonbase. Moonbase AS or Moonbase LLC, whichever is named as the seller on your receipt, is our authorized reseller and the merchant of record for your order. Your purchase is subject to Moonbase's Terms and Conditions for Buyers. Moonbase is not a party to this Agreement.
15.2 All sales are final, except where the law requires a refund, as described in AUXJACK's Refund Policy at https://www.auxjackaudio.com/refunds. Nothing in this Agreement limits any refund or withdrawal right you have by law or under Moonbase's Terms and Conditions for Buyers.
15.3 A refunded or charged-back license is revoked.
16. PRIVACY
16.1 The Software processes your files and audio on your own computer and does not upload them. The Software does not collect usage analytics or crash reports. The Software does not check for updates automatically; update and help links open the AUXJACK website in your browser, which is covered by our Privacy Policy.
16.2 For licensing, the Software sends a device identifier (see Section 5.2), your device name, your license token, and the app version, operating system and platform to Moonbase, AUXJACK's licensing provider. When you purchase, Moonbase, as seller, processes your payment and shares your name, email address, country and order details with AUXJACK. AUXJACK does not receive your card or bank details.
16.3 See our Privacy Policy at https://www.auxjackaudio.com/privacy-policy for what we collect, how long we keep it and your rights.
17. INDEMNITY
You will indemnify and hold harmless AUXJACK LLC and its members, employees, contractors and agents from any third-party claims, damages and costs (including reasonable attorneys' fees) arising from your breach of this Agreement or applicable law, including infringing material in your files or Output.
18. NO WARRANTY; YOUR FILES
18.1 THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND FROM AUXJACK OR ITS LICENSORS AND SUPPLIERS, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. AUXJACK AND ITS LICENSORS AND SUPPLIERS DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ITS OUTPUT OR CONVERSIONS WILL BE LOSSLESS OR SUITABLE FOR YOUR PURPOSE. THE SOFTWARE IS NOT DESIGNED OR INTENDED FOR USE WHERE ITS FAILURE COULD LEAD TO DEATH, PERSONAL INJURY OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.
18.2 Your files. The Software may create, modify, overwrite or delete files on your computer as part of its normal operation. You are responsible for maintaining backups. AUXJACK is not responsible for loss of or changes to files, sessions or projects.
19. LIMITATION OF LIABILITY
19.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER AUXJACK NOR ITS LICENSORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, FILES, SESSIONS, PROFITS OR BUSINESS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE.
19.2 AUXJACK'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE PRODUCT OR US $50.
19.3 These limits do not apply to liability that cannot be limited by law, including for fraud or willful misconduct. Some jurisdictions do not allow certain limitations, so they may not apply to you.
20. TERMINATION
20.1 This Agreement remains in effect until terminated. It ends automatically if you materially breach it and, where the breach can be fixed, do not fix it within 14 days of notice from AUXJACK. AUXJACK may deactivate licenses obtained through fraud, chargeback or unauthorized sale.
20.2 On termination, you must stop using the Software and delete all copies.
20.3 Sections 8, 9, 10, 11.3, 11.4, 11.5, 11.6, 12, 13.2, 15.3, 17, 18, 19, 21, 22 and 24 survive termination.
21. DISPUTES AND GOVERNING LAW
21.1 Informal resolution first. If you have a dispute with AUXJACK, you agree to first contact us at legal@auxjackaudio.com with a description of the issue and give us 30 days to try to resolve it informally. Any applicable limitation period is paused during this 30-day period.
21.2 Governing law and venue. This Agreement is governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute not resolved informally will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and both parties consent to their jurisdiction.
21.3 Small claims. Either party may bring an individual claim in small claims court.
21.4 Local consumer rights. If you are a consumer in a country whose law gives you the right to bring claims in your local courts or under your local law, nothing in this Section limits that right.
22. EXPORT AND GOVERNMENT USE
22.1 You must comply with all applicable export control and sanctions laws. You may not use or export the Software to any person or country prohibited under U.S. law.
22.2 The Software is "commercial computer software" provided to U.S. Government end users only with the rights granted in this Agreement.
23. CHANGES TO THIS AGREEMENT
AUXJACK may update this Agreement for new purchases, new Products or new major versions. Changes do not apply retroactively to a version you have already licensed unless you accept them. The version number and effective date appear at the top of this Agreement.
24. GENERAL
24.1 Entire agreement. This Agreement and the applicable Schedule are the entire agreement between you and AUXJACK about the Software. Policies referenced in this Agreement, such as the Privacy Policy and Refund Policy, apply as described in those Sections.
24.2 Severability. If any part is found unenforceable, it will be enforced to the maximum extent permitted, and the rest remains in effect.
24.3 No waiver. Failure to enforce any term is not a waiver of it.
24.4 Assignment. You may not assign this Agreement except as Section 7 allows. AUXJACK may assign it, including in connection with a merger, acquisition or sale of assets.
24.5 Force majeure. AUXJACK is not liable for delays or failures caused by events beyond its reasonable control, including third-party service outages.
24.6 Notices. Legal notices to AUXJACK must be sent to legal@auxjackaudio.com. AUXJACK may send notices to the email associated with your license.
24.7 Language. The English version of this Agreement controls.
